1. Agreement
These Terms of Service ("Terms") form a binding agreement between [REPLACE BEFORE PUBLISH — legal entity name, ABN] ("CEOist", "we") and the entity or person ("you", "Customer") signing up for a CEOist account. By creating an account or using the Service you agree to these Terms.
2. The Service
CEOist is a chat-first AI platform that lets you instantiate AI "Experts" — configured personas with persona, scope, memory, and tool access — to operate alongside you in your business. Phase 1 ships pre-configured for Shopify store operators with a CFO Expert and an Operations Expert. Additional Experts and integrations are released over time.
3. Account
You must provide accurate registration information and keep it current. You are responsible for everything that happens under your account. Sign-ups are individual; sharing credentials is not permitted.
You must be at least 18 years old (or the age of majority in your jurisdiction) and authorised to bind the business you sign up on behalf of.
4. Acceptable use
You agree not to use the Service to:
- Violate any law or regulation.
- Infringe anyone's intellectual property, privacy, or other rights.
- Send spam, malware, or harassment.
- Reverse-engineer, scrape, or otherwise extract the Service except as permitted by these Terms.
- Resell, sublicense, or white-label the Service without our written consent.
We may suspend or terminate accounts that breach these rules.
5. Your content and data
Ownership. You retain all rights to your business data, conversation content, integration data, and the briefings the Experts produce. We claim no ownership over your content.
Licence. You grant CEOist the limited rights needed to operate the Service for you — process, store, transmit, display, and pass your content to our LLM sub-processor as part of a prompt — for the duration of your account and as needed to provide the Service.
Output. Briefings and Expert replies are generated by an LLM. They are advisory only and may contain errors. You retain final authority and responsibility for business decisions taken on the basis of Expert output. CEOist is not a financial advisor, lawyer, accountant, or any other licensed professional. Where those services are required you must obtain them separately.
6. Approvals and high-risk actions
Certain actions taken by Experts on your behalf require human approval and a subset are override-prohibited (the customer cannot waive the approval requirement). The current list of override-prohibited actions — including external email send, refunds, public posts, customer-facing messages, destructive operations, billing / credential changes, and bulk operations — is maintained in CEOist's public security documentation.
7. Integrations
When you connect a third-party service (Shopify, Google, Microsoft 365, Zendesk, Trustpilot), the third party processes your data under its own terms and you authorise CEOist to act on your behalf within the scopes you grant. You can disconnect any integration at any time from Settings → Integrations.
8. Fees
Pricing is published at [REPLACE BEFORE PUBLISH — pricing URL]. Fees are charged via our billing sub-processor (Stripe). Failure to pay may result in suspension or termination. We may change pricing on 30 days' notice; usage already paid for is unaffected.
9. Term and termination
These Terms continue while your account is active. Either party may terminate by ending the subscription. We may terminate immediately for material breach. On termination we will export your data on request and delete it within 90 days, subject to retention required by law.
10. Disclaimers
The Service is provided "AS IS" without warranties of any kind. We do not warrant that the Service will be uninterrupted, error-free, or that Expert output is fit for any particular purpose.
11. Limitation of liability
To the maximum extent permitted by law, CEOist's aggregate liability under these Terms is limited to the fees you paid in the 12 months immediately preceding the event giving rise to the claim. We are not liable for indirect, incidental, consequential, or punitive damages.
12. Indemnity
You will indemnify CEOist against any claim arising from your content, your use of the Service in breach of these Terms, or your violation of applicable law.
13. Confidentiality
Each party will treat the other's non-public information as confidential and use it only as needed to perform under these Terms.
14. Governing law and disputes

15. Changes
